Licensing Model for Institutions

IvyNetwork provides schools, universities, and alumni organizations with secure, cloud-based access to a branded networking ecosystem. Through their dedicated portals, institutions can create curated digital communities where students and alumni connect, share opportunities, mentor peers, and promote school-affiliated initiatives.

IvyNetwork also offers business support services to educational institutions and alumni groups, including event promotion, career placement visibility, and internal community engagement tools.

Institutions and alumni associations license IvyNetwork on an annual subscription basis. Pricing is determined by a tiered model based on user volume and feature access (e.g., mentorship matching, private forums, analytics dashboards). Each licensed client receives:

• A customizable branded portal for their school or alumni group

• Administrative access and moderation controls

• Access to IvyNetwork’s suite of community-building tools

• Monthly analytics and engagement reporting

• Optional custom integrations or support tiers for additional fees

This licensing model enables IvyNetwork to scale across schools and alumni networks while providing each client with a tailored, value-driven solution to strengthen institutional loyalty and professional growth within their community.

Platform Access 

Users of IvyNetwork, students, alumni, administrators, and affiliated professionals, log in through a secure sign-in portal to access the platform’s networking services. Access to the website and its features is governed by IvyNetwork’s Terms of Use and Privacy Policy, which all users must review and accept before creating an account.

IvyNetwork  is displayed prominently on the login screen, user dashboards, onboarding emails, and throughout the platform interface.

Users do not have access to or control over the platform’s underlying software. All platform functionality, including available features, administrative permissions, and user interface updates, is determined and managed exclusively by IvyNetwork. IvyNetwork retains full control over which software components operate the platform and may update, upgrade, or modify the software at any time without requiring user consent.

This ensures a seamless, secure, and consistent experience for all users across institutional clients.​​

IvyNetwork SaaS License Agreement

This Software-as-a-Service ("SaaS") License Agreement ("Agreement") is entered into by and between IvyNetwork, LLC ("Provider"), and the subscribing institution ("Licensee") identified in the Order Form referencing this Agreement. This Agreement governs Licensee's access to and use of the IvyNetwork platform.

1. Services Provided
Provider shall grant Licensee access to a secure, cloud-based, branded networking ecosystem designed for schools, universities, and alumni organizations. Services include:

• A customizable branded portal for the Licensee’s institution or alumni group
   

• Administrative access and moderation controls
   

• Access to IvyNetwork’s suite of community-building tools
   

• Monthly analytics and engagement reports
   

• Optional support services and custom integrations (additional fees may apply)

• Users are required to accept and install all applicable software updates and/or upgrades developed by Provider.

2. Subscription and Fees
The Licensee agrees to pay an annual subscription fee, determined based on user volume and selected features. Pricing tiers will be specified in the executed Order Form. Fees are non-refundable, except as otherwise provided in this Agreement.

3. Term and Termination
This Agreement shall be effective as of the Effective Date listed in the Order Form and shall remain in force for a period of one (1) year, renewing automatically unless terminated by either party with thirty (30) days' written notice.

4. Access and User Accounts
Users (students, alumni, administrators) will access the IvyNetwork platform through a secure sign-in portal. All users must agree to IvyNetwork’s Terms of Use and Privacy Policy before account activation.

5. Ownership and Intellectual Property
All intellectual property rights, including the IvyNetwork platform design, code, software, and content, remain the sole property of IvyNetwork, LLC. Licensee may not copy, modify, reverse-engineer, or distribute any part of the platform without prior written consent.

6. Platform Management and Software Updates
The IvyNetwork platform is managed and maintained solely by Provider. Users and Licensees may not alter, access, or direct the underlying software. IvyNetwork retains the right to update, modify, or upgrade the platform and its components without requiring Licensee or user consent.

7. Confidentiality
Each party agrees to maintain the confidentiality of proprietary or confidential information disclosed by the other party. This obligation will survive termination of this Agreement.

8. Limitation of Liability
To the fullest extent permitted by law, IvyNetwork shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, even if advised of the possibility of such damages.

9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

10. Entire Agreement
This Agreement, together with the Order Form and IvyNetwork’s Terms of Use, constitutes the entire understanding between the parties with respect to the subject matter hereof.

IN WITNESS WHEREOF, the parties have executed this Agreement by their authorized representatives as of the Effective Date.
